SERVICE AGREEMENT

1. Scope of Services

This The Static Master Service Agreement is entered into as of , by and between:

Provider agrees to provide the following services:

• A Meta Creatives Growth Package “The Static Master” consisting of two hundred (200) static creatives per month for Client’s brand, including reviewing internal creative team such as Editors and Designers.
• A one-time research phase to understand the brand’s positioning, audience, and advertising strategy.

Monthly Fee: $2,200 (recurring, payable each 28 days in advance through Mercury or Stripe Subscription)

The research phase may take up to four (4) business days after payment of the initial fee.

2. Performance-Based Bonus

In addition to the 28-day fee, Client agrees to compensate Service Provider a performance-based bonus ranging from 2% to 5% of the monthly advertising spend on Meta platforms.

The exact percentage will be determined based on return on ad spend (ROAS) thresholds agreed upon in writing between the parties prior to campaign launch.

3. Term & Termination

This Agreement shall remain in effect on an ongoing basis unless terminated by either party with no less than fourteen (14) days’ written notice. Upon termination, all fees due up to the date of termination shall remain payable.

4. Publicity Rights

Service Provider shall have the right to create and publish case studies and promotional content referencing the Services provided to Client.

However, Service Provider agrees not to disclose any confidential information or exact performance metrics of individual creatives without Client’s prior written consent.

5. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared in connection with this Agreement, including but not limited to business data, ad performance details, and customer insights.

6. Payment Terms

Invoices are due upon receipt. Late payments may result in paused services until they are resolved.

The performance bonus shall be invoiced each 28 days, after ad spend and agreed ROAS thresholds are reviewed.

7. Intellectual Property

Client retains ownership of all creatives paid for under this Agreement. Service Provider retains a copy for internal and promotional use as stated above.

8. Governing Law — Wyoming

This Agreement shall be governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict of law principles.

9. Entire Agreement

This document represents the entire understanding between the parties and supersedes all prior agreements, whether written or oral.
